This position resides within the Legal Department and reports to the Attorney Legal and Compliance with dotted line to Procurement Department, and is responsible for providing administrative support for all Contracts and Legal matters for the Company. The position is accountable for the ensuring the efficient and accurate support of the end-to-end administration of all Company contracts (Corporate and Technical) and to ensure service level agreements are upheld, tracked, and executed, and that the contracts are issued, managed and handled in accordance with the Company’s Procurement policy and Legal Department requirements. The position also supports the Legal Department with administrative duties as necessary.
The following Contracts and Legal duties and responsbilites inlcude, but are not limited to
Prepares any Contract change notices, monitors contractor performance, including the reporting and status of contractor and owner deliverables.
Prepares and disseminates information to appropriate employees regarding Contract status, facilitate contractor meetings and assists in co-ordinating the resolution of any Contract related issues and matters.
Maintains an audit file for each contract which will include original contract, all correspondence, changes/deviations, amendments, clarifications, payment schedules
Provides contract summaries and ensures contract execution in accordance with Company policy.
Ensures that contractor is compliant with credit and finance requirements, legal requirements, owner specifications, laws and regulations.
Ensures that all records are accurate and up to date.
Prepares contract letters and other communications and notices as required for approval.
Attends meetings to assess progress on Contracts which are in motion, and takes detailed Minutes / notes to share with stakeholders.
Analyses Contracts to ensure full compliance and applicability with relevant laws and regulations.
Tracks authorizations and correspondence.
Maintains detailed and organized files on SharePoint or other agreed repository.
Delivers weekly, monthly and quarterly status reports to Procurement, Finance and Legal as required.
Provides administrative assistance to the Chief Legal Officer, and Attorney, Legal & Compliance including:
Files and maintains records and documentation relating to legal, contractual, compliance and board governance matters in the Legal and Compliance document management system.
Prepares board secretariat matters, including the compilation of Board and Committee papers as required.
Prepares forms relating to various tax, VAT, Registrar of Companies and other statutory and compliance returns.
Maintains legal, compliance and board secretariat calendar of keys events, meetings and filing dates.
Maintains corporate insurance policy documentation and renewals.
Processes and keeps records of documentation pertaining to commercial and corporate contracts.
Prepares skeletal letters, reports and documentation for finalisation by the CLO and/or the Attorney, Legal and Compliance.
Visits Ministries, Regulatory Bodies and Registries for document filing and any other matters as required.
